Joint Statement on Global Patent Dispute Settlement

between 

Chint New Energy Technology Co., Ltd. and JA Solar Technology Co., Ltd.

随着全球能源转型加速，中国光伏产业正在迈入以技术创新引领的“质量跃升”新阶段。正泰新能科技股份有限公司（以下简称“正泰新能”）与晶澳太阳能科技股份有限公司（以下简称“晶澳科技”）作为行业的重要推动者，始终秉持创新驱动的发展理念，持续加大研发投入，完善全球知识产权布局，打造维护尊重和保护知识产权的市场环境，共同致力于推动产业技术进步与可持续发展。

As the global energy transition accelerates, China’s photovoltaic industry is entering a new phase marked by higher quality and innovation-driven growth. Chint New Energy Technology Co., Ltd. (hereinafter referred to as “Astronergy”) and JA Solar Technology Co., Ltd. (hereinafter referred to as “JA Solar”), as key industry promoters, have consistently prioritized technological innovation, increased investment in R&D, and strengthened their global intellectual property portfolios. Both parties are committed to fostering a market environment that upholds and safeguards intellectual property rights. Both companies remain committed to advancing PV technologies and supporting the sector’s long-term sustainable development.

2025年11月29日，正泰新能与晶澳科技联合宣布：双方及双方关联公司（以下简称“双方”）针对在全球范围内正在进行的专利纠纷已达成和解。

Building on mutual agreement, on November 29, 2025, Astronergy and JA Solar jointly announced that the two companies and their affiliates (hereinafter referred to as “Two Sides”) have reached a settlement regarding the patent disputes currently ongoing worldwide.

根据和解协议，双方同意：终止在全球范围内正在进行的全部专利纠纷法律程序，并就双方各自持有的TOPCon专利达成交叉许可；而且双方承诺，在全球范围内不再就TOPCon专利向对方提起任何专利相关的诉讼或其他程序。

Under the terms of the agreement, the Two Sides agree as follows:

• All ongoing legal proceedings relating to patent disputes worldwide shall be terminated;

• The Two Sides have reached an agreement on cross-licensing of TOPCon-related patents owned by each side;

• For the term of the agreement, the Two Sides undertake that, in the future, neither shall initiate any litigation or other proceedings against the other in any jurisdiction worldwide in relation to TOPCon-related patents.

此次和解的达成，是双方守正创新、互利共赢的务实体现，也为行业构建健康、可持续的知识产权合作模式树立典范；双方将立足新起点，凝心聚力，持续强化前沿技术研发，推动高效光伏技术商业化落地与场景创新，并携手开拓更深层次、更宽维度的战略协同。

The successful conclusion of this settlement reflects the Two Sides’ commitment to integrity, innovation, mutual benefit, and pragmatic cooperation. It sets a positive example for establishing a healthy and sustainable intellectual property cooperation model within the industry. Moving forward from this new starting point, the Two Sides will continue to focus their efforts on strengthening R&D in cutting-edge technologies, promoting the commercialization and application of high-efficiency PV technologies, driving scenario-based technological innovation, and jointly exploring deeper and broader strategic collaboration.
